Accessing the Service after being barred shall constitute an act of trespass. The Service and all materials published therein, including but not limited to articles, graphical images, interactive applications, audio clips, and video clips (collectively, the "Content"), are protected by copyright and are owned by Offshoreproof.com or its licensors. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) RELATING TO THE SERVICE EXCEED $10.

SOME STATES DO NOT ALLOW EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Notices

Offshoreproof.com may give notice to you through general posting on the Service, through postal notification, or through E-mail notification, in its sole discretion. You may give notice to Offshoreproof.com via E-mail at offshoreproof@offshoreproof.com.

We reserve the right, in its sole discretion, to restrict or block the access of any subscriber to the Service, or any section thereof.

General

Any failure by Offshoreproof.com to enforce any provision of this Agreement shall not be construed as a continuing waiver of any rights under such provision. In the event that any portion of this Agreement is held unenforceable, the remaining provisions of the Agreement shall remain in full force and effect.

Indemnity

In the event you breach the terms of this license, or if, any claims are made against Offshoreproof.com (its employees, officers or directors resulting from your actions) you shall be liable to Offshoreproof.com for all damages, costs, judgments, expenses (including reasonable attorney fees) which it incurs.

This Agreement shall be governed by and construed in accordance with the laws of the State of California, as applied to contracts entered into and performed within California. You agree to grant jurisdiction over yourself to the courts of California and designate it as the forum for resolution of all disputes arising under this Agreement.

This Agreement states the entire agreement between the parties with respect to the Service, and all prior or contemporaneous agreements are merged herein and superseded hereby.

Although the Sites Discuss Technology and Other Issues, the Sites themselves Do Not Provide Specific Recommendations or Advice.

The Sites are designed to provide useful publications and a forum for those interested in information technology and other matters related to technology and Outsourcing of services. The Sites do not provide specific recommendations for any particular situation or circumstances, even if materials cited on, identified by or obtained as a result of using the Sites do so. Such recommendations may only be provided by a qualified professional advisor who is familiar with your particular circumstances and other relevant information. What may have worked for one company/individual may not work in your situation and setup.

In part because Offshoreproof.com is not involved in the purchase or sale of any materials that the Sites may discuss, if a dispute arises between you and any seller or purchaser of such materials, you understand that Offshoreproof.com has no obligation to become involved, and you hereby release Offshoreproof.com from all claims, demands and damages (actual, consequential or otherwise) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising from or relating to any such dispute. You hereby waive any legal protections of any jurisdiction that may apply to you that would limit the foregoing release in any way.

Membership Eligibility

Offshoreproof.com welcomes all parties over the age of eighteen (18) who may legally enter into and form contracts under applicable law. You are required to provide complete, current and truthful registration, billing and account information, and you are required to update said information within seven (7) days subsequent to a change.
